Terms of Service: Engineering Engagements

  1. 1. Intellectual Property & Ownership Transfer:

    Upon full and final payment of all outstanding invoices, CodeTier Systems grants the Client a non-exclusive, perpetual license to use the developed software architecture and source code. CodeTier Systems retains full ownership of all intellectual property, repositories, and underlying code until the final invoice is settled in full. In the event of payment default, the Client possesses no legal rights to utilize, modify, or distribute the deliverables.

  2. 2. Third-Party Infrastructure & API Disclaimer

    The delivered software relies on third-party enterprise infrastructure and APIs (including, but not limited to, Supabase, Vercel, Resend, and Make). CodeTier Systems is not legally or financially liable for any service interruptions, data breaches, API deprecations, or performance degradation caused by these external vendors. Any engineering modifications required to restore functionality due to third-party architectural changes will be scoped and billed as a completely separate engagement.

  3. 3. Limitation of Liability:

    Under no circumstances shall CodeTier Systems be held liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, or business interruptions arising from the use or inability to use the delivered software. CodeTier Systems' total cumulative liability for any claims arising from a specific engagement shall be strictly capped at the total financial amount paid by the Client for that specific project.

  4. 4. Warranty and Handover Scope:

    CodeTier Systems provides a strict 14-day bug-fixing window commencing immediately upon the final production deployment. During this period, any defects directly deviating from the mutually agreed-upon project brief will be resolved at no additional cost. Upon the expiration of this 14-day window, the software infrastructure is provided strictly as is. Any subsequent requests for maintenance, dependency updates, server management, or feature modifications will require a new formal billing engagement.

  5. 5. Governing Law & Jurisdiction:

    These Terms of Service and any separate engineering agreements shall be governed by and construed in accordance with the laws of Egypt. Any legal disputes or claims arising from this engagement shall be subject to the exclusive jurisdiction of the courts located in Cairo, Egypt.
